Thank you for using Cognyn.com (“Site”) and our related software, APIs, and services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.
1) Eligibility & Acceptance
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use Cognyn. By using the Services, you represent that you meet these requirements and that all information you provide is accurate and complete.
If you access Cognyn on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
2) Description of the Service
Cognyn provides an AI orchestration platform that connects multiple third-party AI tools and services. It may include planning, workflow generation, and optional execution of connected APIs (e.g., text, image, video, email, or CMS publishing tools).
We may add, change, or remove features at any time without prior notice.
3) Accounts & Access
- You may need to create an account to use certain features. Keep your credentials secure.
- You are responsible for all activity under your account. Notify us immediately if you suspect unauthorized access.
- We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.
4) Use of the Service
You agree to:
- Use Cognyn only for lawful purposes and in compliance with all applicable laws.
- Respect the rights of third parties, including intellectual-property and data-protection rights.
- Not attempt to interfere with or reverse-engineer any part of the platform.
- Not use Cognyn to generate or disseminate malicious, discriminatory, or illegal content.
You retain ownership of content you submit. By providing content, you grant Cognyn a limited license to process it for the purpose of delivering the requested functionality.
5) Third-Party Tools & Integrations
Cognyn may connect to or rely on external AI providers (e.g., OpenAI, Midjourney, Runway, Mailchimp, WordPress, etc.).
- Each provider has its own terms and privacy policy. You are responsible for reviewing and complying with those when enabling integrations.
- Cognyn is not responsible for third-party service behavior, uptime, data retention, or model output.
- Linking an external API key authorizes Cognyn to use it solely to perform your chosen tasks.
6) Fees, Payments & Credits
Some features are free; others require a paid plan or credits.
- Pricing and limits are described on the Site or within your account.
- You authorize us or our payment processor to charge your selected payment method for applicable fees.
- All fees are non-refundable except where required by law.
- We may change prices or plan features with reasonable notice.
7) Intellectual Property
- Our content: All trademarks, logos, software, designs, and documentation are owned by Cognyn Labs or its licensors.
- Your content: You own your inputs and outputs (subject to third-party AI tool terms). You grant Cognyn a non-exclusive, revocable license to use them solely for providing and improving the Service.
- Feedback: If you send suggestions or ideas, you grant Cognyn a perpetual, royalty-free license to use them without obligation or attribution.
8) Data Protection & Privacy
Your privacy is governed by our Privacy Policy, which explains how we collect, use, and safeguard data. By using Cognyn, you also agree to that Policy.
9) Service Availability & Disclaimer
We strive for continuous availability but provide Cognyn “as is” and “as available.”
To the fullest extent permitted by law:
- We make no warranties (express or implied) regarding reliability, accuracy, or fitness for a particular purpose.
- AI outputs are probabilistic and may contain errors. You are responsible for reviewing all results before use.
- Cognyn does not guarantee uninterrupted or error-free service.
10) Limitation of Liability
To the maximum extent permitted by law:
- Cognyn Labs, its affiliates, and employees are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, even if advised of the possibility.
- Our total aggregate liability for any claim shall not exceed the amount you paid for the Service in the 3 months preceding the event giving rise to the claim (or $100 USD if none).
11) Indemnification
You agree to defend, indemnify, and hold harmless Cognyn Labs and its affiliates, officers, and employees from any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising out of:
- Your use or misuse of the Service,
- Violation of these Terms, or
- Infringement of any third-party rights.
12) Termination
You may stop using the Service at any time.
We may suspend or terminate access if:
- You breach these Terms,
- Your use poses a risk to Cognyn or others, or
- Required by law or partner agreements.
Upon termination, your right to use the Service ceases immediately, but relevant sections (intellectual property, disclaimers, liability, etc.) survive.
13) Changes to These Terms
We may update these Terms periodically.
We’ll post the updated version with a new “Effective Date.” Continued use after updates means you accept the revised Terms.
14) Governing Law & Dispute Resolution
- These Terms are governed by and interpreted under the laws of Delaware, USA (without regard to conflicts of law).
- Disputes shall first attempt informal resolution by contacting support@cognyn.com.
- If unresolved, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), held in Delaware, unless you reside in a jurisdiction that requires otherwise.
- You waive the right to class or collective actions, to the extent permitted by law.
